3.2. You grant GRW Scout a nonexclusive, worldwide, royalty-free license to use, reproduce, and display your User Content solely to provide and improve the Services.
3.3. You represent that you have the rights necessary to grant this license and that your User Content does not infringe the rights of any third party.
4. Use of Services
4.1. Our Services provide AI-powered personality assessments, career plan generation, job-role matching, and related features.
4.2. You agree to use the Services in compliance with all applicable laws and these Terms.
4.3. Prohibited conduct includes:
- Reverse-engineering or duplicating our technology
- Circumventing access controls
- Submitting unlawful, defamatory, or infringing content
- Disrupting or impairing the Services
5. Intellectual Property
5.1. GRW Scout and its licensors retain all rights, title, and interest in and to the Services, including all software, APIs, content, and trademarks.
5.2. You may not copy, modify, distribute, create derivative works, or publicly display any part of the Services without our prior written permission.
6. Third-Party Services
6.1. The Services may integrate or interface with third-party providers (e.g., Symanto API, JobProfiles dataset). Your use of these third-party services is subject to their terms and policies.
6.2. We are not responsible for third-party content or functionality.
7. Disclaimers & Warranties
7.1. The Services are provided "as is" and "as available," without warranties of any kind.
7.2. We do not warrant that the Services will be uninterrupted, error-free, or secure.
7.3. We do not guarantee the accuracy, reliability, or suitability of any AI-generated assessments or career plans; these are for informational purposes only.
8. Limitation of Liability
To the fullest extent permitted by law, GRW Scout and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Services.
9. Indemnification
You agree to indemnify, defend, and hold harmless GRW Scout and its affiliates from any claims, liabilities, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Services.
10. Termination
10.1. We may suspend or terminate your access for any reason, including breach of these Terms.
10.2. Upon termination, your right to use the Services immediately ceases. Any provisions that by their nature survive termination will remain in effect.
